TERMS OF SERVICES.

Below are Cordis Studio's standard Terms and Conditions.

We kindly ask that you take the time to read through them carefully and ensure you fully understand before starting a project with us. By requesting design work and/or services from Cordis Studio, you acknowledge that you agree to these Terms and Conditions and understand that you are entering into a binding contract—payment will be required.

The following terms are governed by Australian Law and apply to all individuals, businesses, or companies ("Client/s") engaging the services of Cordis Studio, including its contractors, subcontractors, and employees ("the Company"), unless otherwise agreed upon in writing by both parties.

General Conditions of Contract

1- These Terms and Conditions apply to all contracts entered into between the Client and Cordis Studio for services related to design, printing, copywriting, visual media, websites, brand identity, illustrations, imagery, and photography (collectively referred to as "Artwork").

2- These Terms and Conditions are subject to change without notification by the Company.

3- These Terms and Conditions apply to the Company and all of its contractors and subsidiaries.

Original Visual Brief, Variations and Guarantee

4- Cordis Studio offers an initial consultation at no cost to the Client, which can be conducted either in person or over the phone. During this session, a Visual Brief will be developed by gathering relevant logos and design references. This brief helps assess and define the Client’s specific design needs.

5- If a delivery date for the final Artwork is not established and documented during the initial consultation, payment will still be required according to the terms outlined in clause (11). The time elapsed between the consultation and final delivery will not affect the Client’s obligation to make payment upon invoicing.

6- Cordis Studio does not provide a fixed number of revisions for logo Artwork as outlined in the original Visual Lorem ipsum Brief.

7- Cordis Studio will not charge for additional logo revisions, as long as the requested changes align with the original Visual Brief and are submitted within the agreed timeframe (if one has been established).

8 - Any work, revisions, or changes beyond the scope of the original Visual Brief will be billed at a rate of $160 per hour, calculated in 15-minute increments. All prices are exclusive of GST. Any additional expenses incurred will be charged separately.

Quotations

9- Quotations provided by Cordis Studio are based on the Visual Brief and the estimated time required. These quotes may be adjusted if additional work or revisions fall outside the original scope.

10- All time estimates are approximate and based on standard business (calendar working) days. Delivery dates for Artwork are not guaranteed and may be subject to change.

Payment

11- Cordis Studio reserves the right to request a deposit before commencing any project or Artwork. If a deposit is required, an invoice will be issued and sent to the Client via email, with payment expected upon receipt. By submitting the deposit, the Client agrees to these Terms and Conditions and enters into a binding contract with Cordis Studio.

12- If no deposit is requested, the Client is deemed to have accepted the Terms and Conditions upon requesting services or work from Cordis Studio.

13- Cordis Studio will issue an invoice for the remaining balance of the Artwork and related services before beginning website development or printing. We reserve the right to withhold commencement of these services until full payment has been received from the Client.

14- Cordis Studio reserves the right to issue an invoice earlier than the timeframe outlined in clause (11) if the Client has been unresponsive or unreachable for more than 30 days. Please refer to the Cancellation & Variation Policy beginning at clause (18).

15- Cordis Studio reserves the right to issue an invoice for completed work if the project duration exceeds 60 days.

16- The Client may request a payment plan, which Cordis Studio may approve at its sole discretion. Any agreed payment arrangement must be confirmed in writing by both parties.

17- All payments are to be made within 30 days of invoicing.

18- Cordis Studio reserves the right to charge the Client for any fees associated with initiating collection or recovery actions on accounts overdue by more than 30 days

19- Cordis Studio reserves the right to remove websites associated with accounts that are more than 90 days overdue in payment.

Cancellation and Variation Policy

20- Cordis Studio reserves the right to apply additional charges if the Client requests changes to the original Visual Brief, modifies the initial project scope, or requests additional Artwork. Please refer to clause (5) for details.

21- If the Client chooses to cancel a contract, Cordis Studio will assess the value of the Artwork and services completed up to that point. The Client will be invoiced for this amount, less any deposits already paid.

a) If the assessed amount owed is less than the deposit paid, Cordis Studio will issue a refund to the Client for the difference.

22- If the Client does not respond within 30 days of receiving the concept Artwork, Cordis Studio will consider the project complete, and the provided Artwork will be deemed final and accepted. An invoice for the remaining project balance will then be issued. Failure to make payment may result in collection procedures and potential legal action to recover any outstanding amounts.

Approving Proofs/ Designs/Printing

23- The Client is solely responsible for reviewing and approving all Artwork proofs to ensure accuracy and appropriateness. This includes, but is not limited to, design elements, spelling, grammar, illustrations, images, and quantities. If the proof is unclear or revisions are needed, it is the Client’s responsibility to request a revised version

Limitation of liability

24- The Client acknowledges and agrees that Cordis Studio is not legally liable for any loss or damage arising from the use of its services. This includes, but is not limited to, any amendments, errors, or omissions in documents, designs, content, products, or services provided. The Client also accepts full responsibility for any reliance on third-party content, links, comments, or advertisements. Any use of, or reliance on, information or materials produced, modified, or designed by Cordis Studio is done at the Client’s own risk, and the Company accepts no liability in such cases.

25- It is the Client’s sole responsibility to ensure that any products, services, or information provided meet their specific needs and requirements

26- The Client acknowledges that the information and materials provided may contain inaccuracies or errors and agrees that Cordis Studio shall not be held liable for any such inaccuracies or errors to the fullest extent permitted by law.

Copyright

27- Cordis Studio retains copyright ownership of all concepts and draft Artwork, including but not limited to logos, symbols, compositions, and written content. Any unauthorized use of these materials by the Client is strictly prohibited. Use of any Artwork before full payment is received is considered unlawful.

29- All Artwork created will remain the property of Cordis Studio until full payment has been received. Upon settlement of the account, copyright ownership will be transferred to the Client. Cordis Studio and its designers reserve the right to showcase the Artwork and its design elements for portfolio and self-promotion purposes.

30- Cordis Studio accepts no responsibility for trademark registration or related matters. It is the Client’s sole responsibility to verify trademark availability and comply with all applicable trademark laws.

Web Site Design

31- The Client agrees to permit Cordis Studio to include a small credit on their website, typically displayed as a discreet line of text near the bottom of the page.

32- The Client also grants Cordis Studio permission to showcase completed websites and other design work on its own website, including a link to the Client’s site, for self-promotional purposes—unless otherwise agreed upon in writing by both parties in advance.

Web Site Design Post-Completion Alterations

33- Upon completion of the website build, Cordis Studio will provide the Client with an opportunity to review the final work. One round of minor revisions will be included at no additional cost, provided the changes are requested within 14 days of delivery (the “review period”)

34- Minor changes refer to simple text edits and slight adjustments to the placement of elements on a page. They do not include changes to images, color schemes, or navigation features.

35 - Requests for minor changes must be submitted to Cordis Studio via email. If no written feedback is received within 14 days from the start of the review period, the original draft will be deemed accepted by the Client.

SEO Search Engine Optimisation & Search Engine Listings

36- Cordis Studio develops websites in line with current SEO best practices at the time of build. While we offer guidance in identifying relevant keywords and key phrases, the final selection is the Client’s responsibility.

37- Cordis Studio does not guarantee, and is indemnified by the Client against any claims related to: the inclusion of the website in Google or other search engine listings, the site’s ranking or visibility in search results, which pages (if any) are indexed, the timeframe for indexing, and the performance or effectiveness of selected keywords or key phrases

Technological advancements

38- Cordis Studio is not responsible for any spam received through the Client’s email addresses, as this is beyond our control. Additionally, Cordis Studio is not liable if the Client’s email account credentials are compromised and used to distribute spam or malicious content

39- Cordis Studio designs and builds websites to the best of its knowledge and expertise at the time of completion. However, the Company cannot be held responsible for any hacking incidents or malicious attacks affecting the Client’s website. Cordis Studio is not liable for any resulting loss of income due to website downtime, security breaches, or related issues.

40- The Company does not provide ongoing software updates and assumes no responsibility if the software used becomes outdated or obsolete. Additionally, Cordis Studio is not liable for any unforeseen technological advancements that may negatively impact the performance, compatibility, or functionality of the Client’s website or system.

41- To the extent permitted by law, Cordis Studio, including its directors and employees, expressly disclaims:

(a) All warranties, conditions, and other terms that might otherwise be implied by statute, common law, or equity;

(b) Any liability for loss of income or revenue, business interruption, downtime, loss of profits, damage to or loss of software, anticipated savings, data loss, loss of goodwill, wasted management time, or any direct, indirect, or consequential loss or damage incurred by you or any end user in connection with the use of our Services;

(c) Any other loss or damage of any kind, however caused, whether arising in tort (including negligence), contract, or otherwise—even if such loss was foreseeable.

You agree to indemnify and hold harmless Cordis Studio, its directors, employees, and representatives from and against any and all claims, actions, damages, liabilities, or costs (including legal fees) arising from or related to the provision of materials or site software, your use (or any third party’s use) of the Services or site, or any other related matters.

CMS Content Management Systems

42- CMS (Content Management System) websites are delivered by Cordis Studio in the agreed working condition. Any modifications to the CMS files or configuration made by a third party are the sole responsibility of the site owner.

43- Websites are developed using the most up-to-date software available at the time of build. All terms and conditions applicable to websites also apply to CMS platforms.

44- Cordis Studio is not responsible for any content published on the Client’s website. Any modifications made to the CMS after project delivery will incur additional charges. The Company is also not liable for any issues arising from future updates or changes to the CMS platform or server/hosting technologies

45- Cordis Studio is not liable for any misuse of the CMS or website by the Client or any third party.

46- Cordis Studio does not provide backups of website content and cannot be held responsible for any partial or complete data loss. It is the Client’s sole responsibility to ensure their website is properly backed up.

Force Majeure

47- Cordis Studio shall not be held liable for any failure or delay in the delivery of Artwork or services resulting from causes beyond its reasonable control. This includes, but is not limited to, acts of war, strikes, lockouts, industrial disputes, government restrictions, transport delays, fire, power outages, hosting provider failures, equipment breakdowns, theft, vandalism, riots, civil unrest, accidents, or acts of terrorism.
